General Terms & Conditions of Sale
of the Beeshake web application
These General Terms and Conditions of Sale (hereinafter the "GTC") govern the contractual relations between Beeshake, a brand of the company COSPIRIT LOCAL, a software publishing company located at 28 rue Feydeau, registered under number 42343795300064, represented by Eric Boyer as General Manager, (hereinafter "Beeshake") and any customer (hereinafter the "Customer") wishing to benefit from the services provided by Beeshake as part of the marketing of its SaaS software.
1. Object
The purpose of these T&Cs is to define the terms and conditions of use of the services offered by Beeshake as well as the rights and obligations of the parties.
2. Description of services
Beeshake offers a SaaS software solution enabling the sharing of ideas, best practices and expertise in different collaborative modules. The services are accessible via the Internet and may include, depending on the offer chosen, various functionalities, additional configuration options or optional services described on the Beeshake website and in the quotes accepted by the Client.
As part of our services, Beeshake offers dedicated support to administrators of our solution. This support is accessible via a ticketing system, allowing you to quickly manage and resolve any questions or technical issues. In addition, we provide an extensive library of free resources and tutorials. These tools are designed to facilitate the use of our solution and ensure its successful deployment within your organization. We are committed to providing you with all the support necessary to maximize the use and benefits of our solution.
3. Software Updates
Beeshake is committed to providing regular updates to the solution to improve its features, fix bugs, and enhance security. Updates may include bug fixes, performance improvements, new features, and changes made in response to user feedback or regulatory requirements.
All updates will be automatically deployed to the infrastructure hosting the solution, at no additional cost to the customer. We strive to minimize service interruptions while updates are deployed. However, some updates may require planned downtime, which will be announced in advance.
It is the customer's responsibility to ensure that their systems and configurations are compatible with the updates. We will provide detailed information and instructions regarding the changes made by each update, as well as technical support if necessary to ensure a smooth transition.
4. Order and acceptance
Any order for services implies the unconditional acceptance by the Customer of these General Terms and Conditions. Quotes issued by Beeshake are valid for 30 days from their date of issue. The order is considered firm and final upon receipt by Beeshake of the quote signed by the Customer.
5. Rates and payment conditions
The rates for the services are indicated in euros excluding taxes (HT) and may be adjusted according to the options and additional services chosen by the Customer. Payment is made according to the terms specified in the accepted quote. In the absence of special provisions, payment is due upon receipt of the invoice. Any delay in payment will result in the application of late payment penalties calculated at the legal rate in force.
6. Duration and termination
The services are provided for a period determined in the accepted quote, with or without commitment, depending on the options chosen by the Client.
In the event of a subscription without commitment, any month started is due by the Customer
In the event of a subscription with an annual or multi-year commitment, the contract is tacitly renewed according to the terms of the first commitment period. If Beeshake were to increase its prices based on exogenous contexts such as an increase in infrastructure costs, the Customer would be notified within 30 days before the anniversary date.
In the event of early termination by the Customer without legitimate reason, the latter remains liable for the amounts due for the period initially planned. Beeshake may terminate the contract in the event of a serious breach by the Customer of its obligations after formal notice has remained without effect for 30 days.
In the event of termination of the contract, for any reason whatsoever, we undertake to ensure the reversibility of the services. This includes the restitution of the customer's data in a standard format that can be used and read by the customer's technical team, as well as the technical assistance necessary to enable a transition to another service provider or an internal solution.
Reversibility will include the following steps:
- Data Restitution: We will provide the customer with a complete copy of their data in a standard format (CSV for users and text content, drive containing all files).
- Technical Support: We provide technical support to facilitate the export of data and its integration into the customer's new system, for a period of 30 days following termination of the contract.
- Data Deletion: After this 30-day period, we will permanently delete the data from our systems, in accordance with legal and privacy requirements.
Any costs associated with reversibility may be quoted/billed to the customer according to the rates in effect at the time of the reversibility request.
7. Obligations and responsibilities
Beeshake undertakes to implement all necessary means to ensure maximum availability of services. However, Beeshake cannot be held responsible for service interruptions attributable to events beyond its control (force majeure, failure of internet access providers, etc.).
The Customer is responsible for using the services in compliance with the laws and regulations in force, particularly with regard to the protection of personal data. He undertakes not to use the services for illegal purposes or purposes that do not comply with these General Terms and Conditions.
8. Protection of personal data – cookies
In accordance with the General Data Protection Regulation (GDPR), Beeshake undertakes to process the personal data of the Client and end users in accordance with the legal provisions in force. Beeshake ensures the security and confidentiality of the data collected. The Client has the right to access, rectify, delete and oppose the processing of his personal data by contacting Beeshake at donneespersonnelles@cospirit.com.
9. Intellectual property
Beeshake remains the owner of all intellectual property rights relating to the software and services provided. The Customer benefits from a non-exclusive and non-transferable right to use the services for the duration of the contract. Any reproduction, representation or exploitation of the services, in whole or in part, without the express authorization of Beeshake is prohibited.
10. Confidentiality
The parties undertake to keep confidential all information exchanged in the context of the execution of these General Terms and Conditions. This obligation remains in force for a period of 2 years after the end of the contract.
11. Modifications to the T&Cs
Beeshake reserves the right to modify these T&Cs at any time. The modifications will be notified to the Customer and will come into force within 15 days of notification, unless the Customer expressly refuses. In the event of refusal, the Customer may terminate the contract without penalty.
12. Applicable law and competent jurisdiction
These General Terms and Conditions are subject to French law. Any dispute relating to their interpretation and/or execution will be subject to the jurisdiction of the courts of Paris.
